Attorney 1 (Corporate Legal)

Overview: This position forms part of the corporate in-house team supporting global legal entity management, securities and corporate governance, capital markets and various corporate transactions. Candidates must exercise initiative, have an exceptional level of attention to detail, excellent English communication skills and the ability to work cross-functionally with colleagues around the globe. Key Responsibilities: Coordinate legal work related to legal entity management, including legal entity integration and reorganization activities, creation of new legal entities, merger and consolidation of legal entities, and legal entity maintenance. Support the Assistant General Counsel, Securities with corporate governance work as needed including reviewing and drafting corporate governance documents such as meeting agendas, minutes, resolutions, and presentations. Support the Assistant General Counsel, Securities with capital markets transactions and other corporate transactions. Partner with IQVIA’s treasury department and financial accounting team to track legal entity changes that impact financing facilities and/or debt covenants. Assist with the preparation of IQVIA’s proxy statement in connection with the annual meeting of stockholders and coordination for the annual meeting of stockholders. Participate in the development of departmental procedures to improve processes around entity management, corporate governance, and securities. Coordinate matters handled by outside counsel. Perform other duties as required. Qualifications & Skills Bachelor Degree in Law Active Bar Association (OAB). Qualified to practice law in a global organization. For law firm candidates, a minimum of four years of experience as an attorney with a law firm is required or, for candidates with a combination of prior law firm experience and in-house legal experience, a minimum of six years of overall experience is required. Experience managing large and complex legal entity structure required. Experience with U.S. securities laws and corporate governance is preferred but not required. Strong organizational, planning, project management, communication, presentation and influence skills. Demonstrated ability to establish and maintain effective working relationships cross-functionally and across global geographies with coworkers, managers and clients. Exceptional attention to detail and ability to work simultaneously on multiple priorities. Fluent English with the ability to discuss, draft and review documents in English.
